1. GRANT OF LICENSE.
This License Agreement assigns you as the sole individual financially
responsible for services provided for My CLTC Assistant™. My
CLTC Assistant™ is licensed to you, not sold. You are granted
a limited, personal, nonexclusive, nontransferable and non-assignable
license to use My CLTC Assistant™ in the manner described in
this License.
2. USER DEFINITION:
A User is defined as one individual who is assigned a user name
and password. Only that User is allowed to use My CLTC Assistant™.
LTC Connection, LLC reserves the right to cancel this agreement
if more than one individual is using My CLTC Assistant™.
3. TERM OF LICENSE AND
PAYMENT. LTC Connection, LLC will provide a service
to You on payment of monthly subscription fee. See Fee Schedule.
This fee may be modified by LTC Connection, LLC after providing
you with a 30 day notice. Any modification shall take effect
beginning with Your next monthly billing period. You will be
notified of any modification and have the option of canceling
My CLTC Assistant™ before the new Schedule goes into effect.
From time to time, LTC Connection, LLC may offer certain promotions
or packages with fees that may differ from those to which You
subscribed. There will be no right for an existing customer
to request application of any such promotions or packages to
the License Agreement.
4. RENEWAL. License
to use My CLTC Assistant™ will renew automatically from month
to month, and payment shall be made by recurring debit of Your
credit card. See Fee Schedule. If funds are not available for
transfer from Your credit card access will be denied to My CLTC
Assistant until you have updated your credit card.
5. CANCELLATION.
There are no contracts and you can cancel at anytime. If you
cancel during the first 30 days you are entitled to a refund
of that month’s subscription fee. The refund is not automatic.

to request your refund. To cancel Your subscription click on
the Account Information section of My CLTC Assistant™.
6. TRADEMARKS AND COPYRIGHTS.
My CLTC Assistant™ is owned by LTC Connection, LLC. My CLTC
Assistant™ is protected by United States copyright laws and
international treaty provisions. Therefore, You must treat My
CLTC Assistant™ like any other copyrighted material. In particular,
Users of My CLTC Assistant™ may not remove the copyright notice
from any printed reports produced by My CLTC Assistant™.
7. RESTRICTIONS.
. My CLTC Assistant™ is owned and operated by LTC Connection,
LLC. Modification of any material from My CLTC Assistant™ or
use for any other purpose is a violation of LTC Connection LLC's
copyright and other proprietary rights. Use of any such material
from My CLTC Assistant™ on any other web site or computer environment
is prohibited. No part of the My CLTC Assistant™ may be copied,
reproduced, republished, uploaded, posted, transmitted, or distributed
in any manner.
8. LINKED WEB SITES.
If a web site is linked to My CLTC Assistant™ it does not imply
that: (a) LTC Connection, LLC sponsors, licenses, endorses,
is affiliated with or is otherwise connected to such web site,
the products or services described therein or its owner, or
(b) LTC Connection, LLC has authorized the linked web site to
use any trademark, trade name, logo or other trademarked or
copyrighted material of LTC Connection, LLC.
9. PARTNER VENDORS.
LTC Connection, LLC offers products and services from partner
vendors. LTC Connection, LLC offers these products and services
AS IS. LTC Connection reserves the right to discontinue or change
vendors at any time.
10. DISCLAIMER:
INFORMATION CONTAINED IN MY CLTC ASSISTANT™ IS PROVIDED "AS
IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTY
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
LTC CONNECTION, LLC DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED
IN THE MATERIALS WILL BE UNINTERRUPTED OR FREE FROM ERRORS,
THAT DEFECTS WILL BE CORRECTED, OR THAT THE MY LTC OFFICE™ OR
THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER
HARMFUL COMPONENTS. MY CLTC ASSISTANT™ DISCLAIMS LIABILITY FOR
AND DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE
USE, INTERPRETATION OR RESULTS OF THE USE OF MATERIALS IN MY
CLTC ASSISTANT™ IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY
OR OTHERWISE.
11. LIMITATION OF LIABILITY.
Under no circumstances shall LTC Connection, LLC be liable for
any damages, direct, special, incidental, consequential, punitive
or exemplary, or otherwise, that result from the use of, or
the inability to use, the materials in My CLTC Assistant™, even
if LTC Connection, LLC or a LTC Connection, LLC authorized representative
has been advised of the possibility of such damages.
12. JURISDICTION.
As My CLTC Assistant™ is operated by LTC Connection, LLC from
within the United States of America, this agreement shall be
governed by and enforced in accordance with the laws of the
State of Colorado and venue for any action shall be in El Paso
County, Colorado. If a court of competent jurisdiction finds
any part of this agreement void or unenforceable, the remainder
should be enforced and the court should use its authority to
amend it in order to fulfill the stated purposes of this agreement.
13. MODIFICATION OF AGREEMENT.
LTC Connection, LLC reserves the right, at its sole
discretion, from time to time to change, modify, add or remove
any portion of this Agreement, in whole or in part, at any time.
Notification of changes in the Agreement will be made by either
email, regular mail, or posting on My CLTC Assistant™. Your
continued use of MY CLTC Assistant™ will indicate your agreement
to any such changes.
14. WAIVER AND SEVERABILITY
OF TERMS. The failure of LTC Connection, LLC to exercise
or enforce any right or provision of this Agreement shall not
constitute a waiver of such right or provision.
15. CONFIDENTIALITY.
LTC Connection, LLC, its employees, agents, and/or representatives
will not at any time or in any manner, either directly, or indirectly,
use for the personal benefit of LTC Connection, LLC, or divulge,
disclose, or communicate in any manner, any financial payment,
personal information, or data that is proprietary to you.
16. ENTIRE AGREEMENT.
This Agreement, together with the separate Fee Schedule, constitutes
the entire agreement between LTC Connection, LLC and You with
respect to Your use of and access to My CLTC Assistant ™.
